Antico & Partners has assisted Lattonedil S.p.A. Italy, one of the European leaders in the production of thermal insulation panels, in a key transaction performed on the construction materials market in Romania.
In November, Lattonedil S.p.A. acquired the sandwich and thermal insulation panel division of Proinvest Group, Pascani. Following the completion of the transaction, the production of sandwich thermal insulation panels will be carried out by Lattonedil România S.R.L., a newly established company in which Proinvest Group has retained a minority stake.
The acquisition sets up the Lattonedil Group’s landmark entry into the Romanian market and the continuation of its European growth. Lattonedil S.p.A. is part of an industrial group founded in 1969 in Italy, today being one of the reference leaders in Europe for the production and marketing of thermal insulation and sandwich panels used in the construction sector. Lattonedil Group reports consolidated revenues of over €420 million, generated across 13 production facilities located in Italy, Spain, Germany, France, and Bosnia.
The legal team of Antico & Partners was part of a consortium of law firms who assisted Lattonedil Group in the acquisition of the business line, providing – together with the Italian law firm Arrigoni Legal Atelier on the Italian law side – expertise in Romanian and international commercial law matters, including tax and competition (antitrust) law.
Antico & Partners lawyers conducted legal due diligence on the assets transferred by Proinvest Group, coordinated the transaction structuring, drafted and negotiated contractual documentation and provided legal M&A (mergers and acquisitions) advice throughout all phases of the business transfer, including procedures before the Competition Council for the approval of the foreign direct investment.
