Reintroducerea PPAs"},"content":{"rendered":"<p>\u00cen prezent, conform Legii energiei electrice \u0219i a gazelor naturale nr. 123\/2012 (Legea), regula este c\u0103 tranzac\u021biile pe pia\u021ba concuren\u021bial\u0103 se desf\u0103\u0219oar\u0103 \u00een mod transparent, public, centralizat \u0219i nediscriminatoriu. Modul centralizat \u00eenseamn\u0103, \u00een sensul legii, desf\u0103\u0219urarea tranzac\u021biilor \u00eentre operatorii economici intermediate de operatorul pie\u021bei de energie electric\u0103 sau de operatorul de transport \u00een baza unor reguli aprobate de autoritatea competent\u0103. <em><strong>centralized<\/strong><\/em> and non-discriminatory manner. The centralized mode means, in the sense of the law, the conduct of transactions between economic operators intermediated by the electricity market operator or the transport operator based on rules approved by the competent authority.<\/p>\n<p class=\"whitespace-pre-wrap break-words\">\u00cen cazul Rom\u00e2niei, operatorul pie\u021bei de energie electric\u0103 este OPCOM SA, iar autoritatea competent\u0103 s\u0103 emit\u0103 reguli care afecteaz\u0103 pia\u021ba este ANRE.<\/p>\n<p class=\"whitespace-pre-wrap break-words\"><strong>Reglementare comunitar\u0103<\/strong><\/p>\n<p class=\"whitespace-pre-wrap break-words\">\u00cencep\u00e2nd cu 1 ianuarie 2020 a devenit aplicabil la nivel comunitar, \u0219i implicit \u00een Rom\u00e2nia, Regulamentul al Parlamentului European \u0219i al Consiliului nr. 943\/2019 (Regulamentul) privind pia\u021ba intern\u0103 de energie electric\u0103, cu principalele obiective \u0219i principii:<\/p>\n<p class=\"whitespace-pre-wrap break-words\">- s\u0103 ofere tuturor consumatorilor din Uniune posibilit\u0103\u021bi reale de alegere, precum \u0219i noi oportunit\u0103\u021bi de afaceri \u0219i un comer\u021b transfrontalier mai intens,<\/p>\n<p class=\"whitespace-pre-wrap break-words\">- asigurarea ob\u021binerii de progrese \u00een materie de eficien\u021b\u0103, pre\u021buri competitive \u0219i \u00eembun\u0103t\u0103\u021birea calit\u0103\u021bii serviciilor, precum \u0219i pentru a contribui la siguran\u021ba aliment\u0103rii \u0219i la dezvoltarea durabil\u0103.<\/p>\n<p class=\"whitespace-pre-wrap break-words\">- asigurarea negocierii pe pie\u021bele extrabursiere (,,over the counter'') a contractelor de furnizare pe termen lung.<\/p>\n<p class=\"whitespace-pre-wrap break-words\">Regulamentele Europene sunt implementate direct \u00een legisla\u021bia statelor europene, \u00een conformitate cu art. 288 din Tratatul privind func\u021bionarea Uniunii Europene \u0219i creeaz\u0103 drepturi a c\u0103ror respectare poate fi reclamat\u0103 direct \u00een fa\u021ba instan\u021belor na\u021bionale.<\/p>\n<p class=\"whitespace-pre-wrap break-words\"><strong>Modific\u0103rile aduse de Ordonan\u021ba de urgen\u021b\u0103 nr.74\/2020<\/strong><\/p>\n<p class=\"whitespace-pre-wrap break-words\">\u00cen data de 19 mai 2020 \u00een Monitorul Oficial fost publicat\u0103 Ordonan\u021ba de urgen\u021b\u0103 nr. 74\/2020 (OUG) pentru modificarea \u0219i completarea Legii energiei electrice \u0219i a gazelor naturale nr. 123\/2012, care a intrat \u00een vigoare la data public\u0103rii.<\/p>\n<p class=\"whitespace-pre-wrap break-words\">Conform notei de fundamentare, printre altele, modific\u0103rile introduse prin OUG au drept scop stimularea investi\u021biilor \u00een noi capacit\u0103\u021bi de producere a energiei electrice, \u00een contextul \u00eemb\u0103tr\u00e2nirii capacit\u0103\u021bilor existente. <em><strong>stimulate investments in new electricity production capacities, in the context of the aging of existing capacities.<\/strong><\/em><\/p>\n<p class=\"whitespace-pre-wrap break-words\">Astfel, pentru a atinge primul scop declarat al OUG, a fost completat art. 23 din Lege, fiind ad\u0103ugat alineatul 2, care prevede c\u0103 \u201eprin excep\u021bie de la prevederile alin. (1), pe pia\u021ba concuren\u021bial\u0103, angro sau cu am\u0103nuntul, produc\u0103torii pot \u00eencheia contracte bilaterale \u00een afara pie\u021bei centralizate, la pre\u021buri negociate, cu respectarea regulilor de concuren\u021b\u0103, pentru energia electric\u0103 provenit\u0103 de la noi capacit\u0103\u021bi energetice de produc\u021bie, puse \u00een func\u021biune dup\u0103 data de 1 iunie 2020.<sup>1 <\/sup>being added, which provides that &#8220;by exception from the provisions of paragraph (1), <em>on the competitive market, wholesale or retail, <strong>producers may conclude bilateral contracts outside the centralized market<\/strong>, <strong>at negotiated prices, respecting competition rules,<\/strong>\u00a0<strong>for electricity from new energy production capacities, put into operation after June 1, 2020.<\/strong><\/em><\/p>\n<p class=\"whitespace-pre-wrap break-words\">According to the changes brought by the GEO, electricity from capacities put into operation after June 1, 2020, is exempted from the obligation to be offered publicly and non-discriminatorily on the competitive market. Also, art. 29, regarding producers&#8217; rights from the Law was supplemented to correlate with the additions to art. 23.<\/p>\n<p class=\"whitespace-pre-wrap break-words\">Therefore, all energy produced by capacities put into operation after June 1, 2020, can be traded without the intermediation of the electricity market operator (&#8220;Opcom&#8221; &#8211; S.A.), energy producers having the possibility to negotiate and conclude bilateral contracts with consumers.<\/p>\n<p class=\"whitespace-pre-wrap break-words\">However, it is important to bear in mind that:<\/p>\n<ol class=\"[&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-decimal space-y-1.5 pl-7\">\n<li class=\"whitespace-normal break-words\">Art. 3 of the GEO provides that <strong>within 30 days from its entry into force, respectively until 19.06.2020,<\/strong>\u00a0ANRE will issue the necessary regulations for the implementation of the provisions and changes made. Therefore, even if the changes to the Law have taken place, at the current moment they cannot be applied in practice, as the application norms mentioned earlier do not exist, and no legislative project to implement the changes has been initiated on this institution&#8217;s website;<\/li>\n<li class=\"whitespace-normal break-words\">The GEO needs to be approved by law. At the time of publication of this article, the draft law approving the GEO was adopted by the Senate and was sent to the Chamber of Deputies for debate, but amendments were submitted by the Senate committees:\n<ul class=\"[&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-disc space-y-1.5 pl-7\">\n<li class=\"whitespace-normal break-words\">The Committee for Energy, Energy Infrastructure and Mineral Resources has completely eliminated <strong>all provisions that referred to the right of electricity producers to contract through direct negotiation, as described above. <\/strong>Instead, the committee proposed that producers who have obtained a connection approval should have the possibility to contract the electricity produced by the new capacity without holding a license in this regard. The Committee argues for the elimination of these provisions by the fact that the proposed changes <strong>grant the right to conclude directly negotiated bilateral contracts only to producers, without granting this right to their partners, i.e., other market participants.<\/strong> Also, the committee also emphasized that this right applies only to production capacities put into operation after June 1, 2020, which can be discriminatory.<\/li>\n<\/ul>\n<\/li>\n<li class=\"whitespace-normal break-words\">The draft law is in the legislative procedure of the Chamber of Deputies, with other changes to the GEO text being possible, its final form may be very different from the form published in the Official Gazette on 19.05.2020. However, even if this endeavor to reintroduce the right to directly negotiate contracts on the energy market fails, it is noteworthy the tendency of the national legislator to transpose European provisions in the field and to stimulate investments in the energy sector, especially that of renewable energy.<\/li>\n<\/ol>\n<p class=\"whitespace-pre-wrap break-words\">Regarding the committee&#8217;s motivation concerning the so-called non-granting of the right to conclude bilateral contracts explicitly to the partners of the producers, we consider that it is necessary to apply the principle of interpretation of the law in the sense in which it would produce effects. Thus, it is natural that if one participant is granted the right to participate in a legal relationship, his co-contractor is also granted this right, otherwise it would be impossible to conclude the contract. This reasoning can be applied to the current hypothesis also due to the fact that there is a limited number of types of co-contractors who can participate in these legal relationships, meaning the producer cannot conclude bilateral contracts except with participants in the energy market.<\/p>\n<p class=\"whitespace-pre-wrap break-words\">The introduction of these changes considerably stimulates the realization of investments in the field of renewable energy. By concluding directly negotiated bilateral contracts over a long period, investors will obtain an instrument against price volatility on the centralized market, and uncertainty regarding the future return on investments will be reduced.<\/p>\n<p class=\"whitespace-pre-wrap break-words\">However, we must admit that the authors of the GEO have chosen a rather unfortunate formulation for art. 23 paragraph. 2(1). If an attempt was made to transpose the provisions and principles of Regulation 943, the chosen formulation seriously limits the meaning of its provisions. Article 3 letter o) of the Regulation does not distinguish between producers and other market participants, long-term supply contracts being negotiable on over-the-counter markets, subject to compliance with European Union competition law.
